1. Scope

These terms apply to the software products, SaaS platforms, tools, portals, applications, automations, interfaces, dashboards and digital services provided by Anmaer.

They may apply to products such as Anmaer Build, Anmaer Desk, Anmaer Flow or any other current or future Anmaer software product.

2. License to use

Subject to payment of the applicable fees and compliance with these terms, Anmaer grants the client a limited, non-exclusive, non-transferable and revocable license to use the software product concerned for its internal needs or according to the applicable plan.

3. Restrictions

The client may not:

  • copy the software;
  • resell it without authorization;
  • sublicense it;
  • attempt to extract the source code;
  • circumvent technical limits;
  • disable security mechanisms;
  • use it for illegal activity;
  • overload or attack the platform;
  • use the software to harm Anmaer or third parties;
  • use the software to develop a competing product by directly copying its features, interfaces or confidential structures.

4. User accounts

The client is responsible for:

  • the users created;
  • the access granted;
  • passwords;
  • roles and permissions;
  • activities performed under its accounts;
  • removing access for employees or collaborators who should no longer have it.

5. Client data

The client retains its rights to its data.

Anmaer processes the client's data only to provide, maintain, secure and improve the service, unless otherwise authorized or required by law.

6. Availability

Anmaer makes reasonable efforts to maintain the availability of its software products. However, Anmaer does not guarantee service without interruption, error, slowdown or outage.

Interruptions may occur for maintenance, updates, security, incidents, third-party providers, force majeure or technical problems.

7. Maintenance and updates

Anmaer may modify, correct, improve or update its software products.

Certain features may be added, modified, replaced or removed to improve security, performance, compliance or the user experience.

8. Third-party services

Anmaer products may depend on third-party services, including cloud hosting, APIs, payment services, AI tools, email services, SMS, telephony, analytics, authentication or storage.

Anmaer is not responsible for interruptions, limits or changes imposed by these third-party providers.

9. AI and automation

Certain features may use artificial intelligence or automation.

The client acknowledges that results may contain errors or approximations and must be verified before use in an important context.

The client remains responsible for decisions made based on the results provided by the tools.

10. Fees and payment

Fees are indicated in the applicable plan, contract, invoice or proposal.

Anmaer may suspend access to the service in the event of non-payment.

11. Termination

Anmaer may suspend or terminate access in the event of:

  • non-payment;
  • violation of these terms;
  • abusive use;
  • security breach;
  • illegal activity;
  • risk to the platform or third parties.

12. Data export

Where possible and according to the applicable plan, the client may request the export of its data before the account is closed.

After the end of the service, Anmaer may delete or anonymize the data after a reasonable period, unless otherwise required by law.

13. Limitation of liability

To the extent permitted by law, Anmaer will not be liable for indirect losses, loss of profits, loss of data, business interruption, loss of opportunity or consequential damages.

14. Governing law

These terms are governed by the laws of Quebec and applicable Canadian federal laws.
